These Terms of Service ("Terms") are a legal agreement between you and Cobern Meir Ltd. ("Cobern Meir," "we," "us," or "our") governing your use of the Eli mobile application and related services (the "Service"). Please read them carefully.
Please note: these Terms include an "as is" disclaimer and a limitation of liability (Sections 11–12). Eli is a companion for reflection and learning and is not a substitute for a rabbi, medical, mental-health, legal, or other professional advice.
1. Acceptance of these Terms
By creating an account, downloading, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
2. The Service
Eli is an AI-powered companion for Jewish life and learning. It lets you converse by text or voice, surfaces verses from the Tanakh, and offers features such as conversation history, bookmarks, reminders, a Word of the Day, and (for Eli+ members) memory across conversations. We may add, change, or remove features at any time.
3. Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. If you are under the age of majority where you live, you must have your parent or guardian's permission. By using the Service, you represent that you meet these requirements.
4. Your account
You are responsible for the activity that happens under your account and for keeping access to your email and devices secure. We use passwordless sign-in (a one-time code) and, where available, Sign in with Google or Apple. Please notify us promptly at [email protected] if you suspect unauthorized use of your account.
5. Subscriptions & billing
Eli offers a free tier and an optional paid subscription, Eli+, available as recurring (e.g., monthly or annual) plans.
- Purchases through app stores. Subscriptions are sold and processed by the Apple App Store or Google Play under their terms. Payment is charged to your store account at confirmation of purchase.
- Auto-renewal. Subscriptions renew automatically for the same period unless you cancel at least 24 hours before the end of the current period. Your store account is charged for renewal within 24 hours before the period ends.
- Managing and cancelling. You can manage or cancel your subscription anytime in your App Store or Google Play account settings. Deleting the app does not cancel your subscription.
- Refunds. Except where required by law, payments are non-refundable and are handled according to the policies of the app store through which you purchased.
- Price changes. We may change subscription prices; changes apply to future billing periods and, where required, with advance notice and your consent.
6. AI content & important notices
Eli generates responses using artificial intelligence. AI can be inaccurate, incomplete, or otherwise inappropriate, and may misrepresent texts or traditions. You are responsible for evaluating the content before relying on it.
Eli is not professional advice. Eli is not a rabbi or posek and does not issue halachic rulings; it is not a doctor, therapist, lawyer, or financial advisor. Do not use Eli for medical, mental-health, legal, financial, or emergency needs. If you are in crisis or thinking about harming yourself or others, contact your local emergency number or a qualified professional immediately. As we say in the app: Eli can make mistakes. God doesn't.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful, harmful, or abusive purpose;
- Attempt to access accounts or data that are not yours, or interfere with or disrupt the Service or its security;
- Reverse engineer, scrape, or use the Service to build a competing product, or resell or commercially exploit the Service without our permission;
- Submit content that infringes others' rights or that is illegal, hateful, harassing, or harmful;
- Misuse the AI to generate prohibited content or to circumvent safety measures or usage limits.
8. Your content & our content
Your content. You retain ownership of the messages and inputs you submit ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, and use Your Content as needed to operate, secure, and improve the Service and to generate responses for you, consistent with our Privacy Policy.
Our content. The Service — including the Eli name and logo, software, design, and text we provide — is owned by Cobern Meir or its licensors and is protected by intellectual-property laws. We grant you a limited, personal, non-transferable, revocable license to use the Service for your own non-commercial use under these Terms. Scripture texts are drawn from public-domain or appropriately licensed sources.
9. Third-party services
The Service relies on third parties (for example, AI and voice providers, the Apple App Store, and Google Play). Your use of those services may be subject to their own terms, and we are not responsible for third-party services or content.
10. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. Sections that by their nature should survive termination (such as Sections 8 and 11–14) will survive.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COBERN MEIR AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.
13. Indemnification
You agree to indemnify and hold harmless Cobern Meir from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Service or your violation of these Terms or of applicable law.
14. Governing law & disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict-of-laws rules. You agree that the courts located in Ontario, Canada will have exclusive jurisdiction over any dispute that is not subject to informal resolution, except where applicable law gives you the right to bring a claim elsewhere. We encourage you to contact us first at [email protected] so we can try to resolve any concern.
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and provide notice within the Service. Your continued use after changes take effect means you accept the revised Terms.
